1. About These Terms

These Terms of Service ("Terms") govern your use of the Valio platform ("Service"), operated by Valio Pty Ltd (ABN pending) ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

2. Service Description

Valio provides AI-powered discounted cash flow (DCF) valuations of publicly listed companies. The Service is an informational and research tool only, intended for research purposes only. It does not constitute personal financial advice, a financial product, or a recommendation to buy, sell, or hold any security. See our Financial Disclaimer for more detail.

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately if you suspect unauthorised access.

4. Subscriptions & Billing

Paid plans (Pro, Enterprise) are billed monthly in Australian Dollars (AUD) via Stripe. Subscriptions auto-renew at the end of each billing cycle unless cancelled.

Pay-per-use credits are one-time purchases. Each credit entitles you to one valuation and does not expire.

Cancellation: You may cancel your subscription at any time via the Stripe customer portal. Access continues until the end of the current billing period. No pro-rata refunds are issued for partial months.

Refunds: Pay-per-use credits are non-refundable once purchased. If a valuation fails due to a platform error (status: "failed"), your credit will be automatically restored. Refund requests for subscriptions may be considered on a case-by-case basis within 14 days of purchase.

Price changes: We may adjust pricing with 30 days' notice via email. Existing subscriptions continue at the current rate until renewal.

5. Usage Limits & Acceptable Use

Each plan includes a monthly valuation limit. Unused valuations do not roll over. You agree not to:

  • Resell, redistribute, or commercially republish valuation outputs without permission
  • Use automated tools to scrape or bulk-access the Service
  • Attempt to circumvent usage limits, authentication, or security measures
  • Use the Service for any unlawful purpose

6. Intellectual Property

The platform, its code, design, and AI models are owned by Valio Pty Ltd. Valuation reports generated for your account are yours to use for personal or internal business purposes. You may not represent AI-generated outputs as your own professional financial advice to third parties.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available". We do not warrant that valuations will be accurate, complete, or error-free. AI-generated analysis relies on publicly available data and algorithmic assumptions that may not reflect current market conditions. We make no guarantees regarding investment outcomes.

8. Limitation of Liability

To the maximum extent permitted by law, Valio Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or investment losses, arising from your use of the Service. Our total liability is limited to the fees you have paid in the 12 months preceding the claim. Nothing in these Terms excludes or limits liability that cannot be excluded under Australian Consumer Law.

9. Termination

We may suspend or terminate your account if you breach these Terms or engage in abusive conduct. You may delete your account at any time by contacting us. Upon termination, your access ceases and saved valuation data may be deleted after 30 days.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notification at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of Western Australia, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Western Australia.
